Fernando joined the firm as a partner in the Commercial Law Department in 2019. He had previously held positions at Ernst & Young Abogados, Deloitte Abogados and KPMG Abogados.
In the area of contract law, he has extensive experience in the drafting and negotiation of all kinds of commercial agreements, such as construction projects, banking and financing agreements, service provision, distribution, agency and supply agreements, commissions, non-residential lease agreements, ordinary and participation loan agreements, credit facilities, management fees, toll manufacturing agreements, etc.
His work in the area of corporate law has included, among other duties, the incorporation of all kinds of companies, transactions and acquisitions, corporate restructuring processes (mergers, split-offs, transformations, etc.), liquidations, family business protocols, acting as company secretary, shareholders’ agreements, letters of intent, due diligence procedures on both the purchaser’s and the vendor’s behalf, and the negotiation and drafting of all kinds of investment contracts and sale and purchase agreements.
In the area of litigation he has been involved in the preparation of all kinds of written documents for submission in civil, criminal and arbitration actions (writs, replies, counterclaims, writs of enforcement, ordinary appeals, high court appeals, applications for judicial review, etc.), and has acted as legal counsel in preliminary hearings, interim injunctions proceedings, oral and regular trial hearings in a wide range of specialist areas, such as opposition to company agreements, unfair competition, completion of works, patents and trademarks, arbitration and directors’ liability. He is responsible for the introduction of “Corporate Defence” protocols for the prevention of criminal liability at the Valencia office.
In the area of insolvency law he has advised on and prepared voluntary and mandatory applications for bankruptcy, providing advice on the drafting of viability plans, settlement proposals and liquidation plans, participating in creditors’ hearings, attending creditors’ meetings, giving notice of credits, refinancing procedures, etc.
He regularly publishes articles on the latest legal news in publications like Expansión, Cinco Días, Economía 3, etc,. He has given courses and seminars at the Valencia Economists’ Association and the APD, and since 2009 he has given classes on the Official Master’s Course in Business Law offered by the Valencia Catholic University and Fundación de Estudios Bursátiles y Financieros (Market and Finances Study Foundation) in Valencia. He has held an international teaching position on the “Master’s Course in Contractual Law” at St. Thomas Aquinas University, giving classes on “Conflict resolution in Spain, legal and out-of-court proceedings; arbitration and Mediation”.
